2678772011 98:52 13178388964 06/07/2011 08:06 FAX 13178388964 . ' ~ Dear Mr. Rokita: Mywife has started a property preservation business providing maintenance servicesfor HUDowned homes. Weare an indirect contractor to Asset Management Specialists who we believe are the prime contractors to HUD I say “we believe” because weare subcontracting to a subcontractor who has contracted with Asset Management Specialists. However another company, HMBI,operates in between Asset Management ‘Spectalists and our contractor, To my mind it is a rather convoluted way ofdomg business and it must be costing the taxpayers a great deal more to have all of these middlemen involved. Nevertheless, the reason whyI contacted your office is that my wife has been doing work for Asset Management Specialists sce March through another contractor. When she anquized about when and how much she would be receiving for her work, she was (old thai the amount wasn't clear as yet and it wouldlikely be m the secondbalf of Junethat abe would be paid for the work done in March and April The contract we agreed to called for 45 day payment terms which is 50% longer than standard commercialterms as itis but to tell my wife that she won't bepaid for 90+ days is just plein wrong... ‘They claim to be having a problem with their invoicingsystems.I have been im business for over 30 years and if I cver had a customer who had an invoiciag problem and wouldn't pay mefor 90 days, ! knew that it was more than a system problem andthatthey were using my moneyto fund their business, [ am sure that HUD is paying them for their services in less than 90 days Wehave invested nearly $10,000 in equipment and operating costs and I am not working so we are depending onthis income to stay in our own home We cannotafford 10 go without au income for 90 days. ‘We would greatly appreciate the congressman's assistance in asking HUD to encourage their vendors, specifically Asset Management Speciehsts to live up to their comractual obligations and pay their vendors on time Mast of their vendors are small operations like my wife's and cannotafford to be strung outlike this, Can you please help? Martin County Healthcare & Rehabilitation Center (FHA| (b)(6) Dear Mr. Vaughn: Thank you for yourletter dated April 6, 2011. In your fetter you referenced the statement in my letter dated January 6, 2011 to Bill Lammers and more specifically my reference to Martin County Healthcare & Rehabilitation Center's (CHC) improved CMSStar rating from 1 to 2 stars Overall. I have enclosed copies of such for your review in the form ofinformation printed from the internet Medicare.gov - Nursing Home Compare dated November 19, 2010. During the most recent MCHC State survey completed December 28, 2010 the surveyorscollected erroneousstaffing information that was ultimately entered into CMSand inturn, erroneously reduced the MCHC Nursing HomeStaffing star rating from 4 stars to 1 star and Overall star rating from 2 stars to 1 star. Based on MCHC management's correspondence with Kim Rhodes, Director ofLong-Term Care Program at the Indiana State Department ofHealth, this information has been corrected and the CMSstar ratings have been changed to once again show stars for Nursing Home Staffing and 2 stars Overall. I have enclosed a copy ofthe revised star ratings dated today for your convenience. Your letter also stated that myletter to Bill Lammersindicates that my prospective lender ultimately expressed concerns aboutrefinancing the facilities in light ofthe Special FocusFacility (SFF)status ofMCHC Myletter to Bill Lammersactuaily states that the prospective lender made the decision not to move forward with the refinancing (adjustment ofexisting HUD rate of interest) after corresponding with Ms. Regina Casabal "because they didn't believe Ms. Casabal would allow either facility to obtain HUD approval because MCHCwas designated as a SFF and both facilities are under the same management." Furthermore, myletter states that the prospective lender's VP ofOrignations and Underwriting assured methat the fact that MCHCis designated a SFF would not be a problem for MCHCortheir sister facility Loogootee Nursing, Center (LNC)providing the facilities met the debt service coverage requirements, Both facilities met those requirements. @8710/2811 14:47 13178388 7 7 05/10/2011 15:02 FAX 13178388964 64 Goo Mr. Michael B Vaughn April 22, 2011 Page Two Regarding your statement about Regina Casabal advising merelated to engaging a consultant to assist with Medicare and census issues. At no time did Ms. Casabal suggest that I retain a firm to assist with censusissues. As stated in myletter to Bill Lammers, Ms. Casabal did ask “ifwe provided therapy in house andif residents received therapy everyday. I indicated that the residents are assessed and based on the assessment, therapy is provided according to their 4 needs " Ms Casabal further stated "Ifyou provide more minutes oftherapyit will increase the amount of payment you would receive from Medicare andthat she could put us in contact with a companythat could assist MCHC in doingthat and all they would charge is a percentage ofthe increase in payments MCHC would receive from Medicare." I went on to further state "I would have never expected a representative ofHUD to recommend actionsthat in my opinion constitute fraud, and I would never succumb to take such measures." Youfurther state that "suggesting, such avenues to an owner/operator would not be unusual when a property's operational or financial performance needs improving " What MCHCneeds foremost is to receive two consecutive surveys with no deficiency tags with a designated scope and severity in excess of an K. When this occurs MCHCwill be clear of the SFF designation. I own the only twofacilities in the MCHCservice area and based on our research 95% of residents requiring long-term care in ourprimary service area reside in these two facilities Atthis time, it behooves meif most ofthe new resident admissions choose LNC over MCHC until MCHCshedsthe SFF designation. The above being said and moving forward, I would like to take this opportunity to thank you for reassigning Ms. Casabal. MCHCis in the process ofremodeling the intermediate care wing and inturn, repairing and or replacing certain capital assets related thereto. The fact that Ms. Casabal has repeatedly denied our request for reimbursementfor such items from our Replacement Reserve Escrow accounthas placed an unduefinancial hardship on MCHC. Also her most recent request to receive monthly financial statements by the tenth ofthe following, month is most arbitrary and capricious. I am a CPAanditis virtually impossible to prepare meaningful financial statements by the tenth ofthe month following the financial statement period end It should further be noted that this was her most recent demand. Priorto this latest deadline for information necessary for her to "release finds" the deadline was twenty-five days subsequent to the period end, which is also not enough time to provide meaningful financial information. I also have in my possession emails that support this fact. Ms. Casabal through time continued to provide a movingtarget as to what she deemed necessary to release funds. For your information, I have also enclosed a copy of my letter dated March 15, 2011 sent to Mr Joseph Tuczak prior to receiving a reply via a telephonecall from Bill Lammers regarding my letter dated January 6, 2011.

I also have a CPAfirm, Clausman & Associates CPA's and Consultants. Clausman & Associates clients are 95% healthcare. Martin County Healthcare & Rehabilitation Center (MCHC)was financed with a HUD loan on July 21, 2000 with terms of 30 years and an interest rate of 7.85%. That was a good rate at that time. In September, 2010, I decided to apply for a HUD rate adjustment (Lien Section 232 Program), since there would be no prepayment penalty related to the initial HUD financing effective September 1, 2010. In March of 2010 I was informed that Martin County Healthcare & Rehabilitation Center was designated by CMS upon the recommendation ofthe Indiana State Department ofHealth (ISDH) as a Special Focus Facility (SFF). A facility is designated as such dueto surveys over the previousthree years that cited deficiencies with scope and severity that were identified as a G tag which constitutes a substandardlevel of care. From my involvement with healthcare facilities through consulting and managingfacilities in Indiana the past 35 years, [ understand that facilities often times receive State surveys better than the facilities deserve and other times worse than they deserve. History shows that MCHC has been an excellent facility the past ten years under the current ownership and management. In the early years under my management, MCHC had the best CMSreport card amongall skilled nursing facitities in the State ofIndiana. As recent as September 20, 2007 MCHCreceived a deficiency free survey. *9R0 Ease 16th Street Surte #105 Caimel, 1 36032 DUTAR AGT UD frr/ead.s294

Mr. Smallwoodafter discussions with his underwriters assured me that it would not be a problem for MCHCortheirsister facility, Loogootee Nursing Center, providing the facilities met the debt service coverage requirements, He stated thai impact ofobtaining a lesserinterest sate wouldmakethe facilities more financially viable and be beneficial to HUD as well. Inturn, we decided to proceed and wrote checks to Love Funding, Inc. in the amounts of $10,370 for MCHC and $10,350 for Loogootee Nursing Center for the cost of the PCNA, legal fees and costs plus a processing fee on August 13, 2010. After numeroushours ofwork and various correspondence with representatives ofLove Funding, Inc and attorneys and engaging Meridian Title Corporation on November 18, 2010 to perform a Title search at the request ofLove Funding, Inc., during the Lien 232 process, representatives ofLove Funding, Inc. engaged in correspondence and conversations with Regina Casabal, Financial Analyst, US Department of Housing and Urban Development. Ms. Casabal was assigned to MCHCsince the facility was designated an SFF. On December 9, 2010 Mr. Smallwood, Love Funding, Inc. arranged a conference call with Ms. Casabal and meat 3:45 pm. that day. I had previously provided a voluminous amountofcorrespondence to Ms. Casabal and participated in conference calls with her and found her to be most abrasive and she talked down to me and the Facility, of which I take offense. 1 felt like she very much lacked knowledgeofour industry and knew very little about MCHCafter I had provided her with volumes ofinformation. Mr. Smallwood, Love Funding, Inc indicated that he also felt like she was not prepared when he had scheduled calts with her. She also scheduled a conference call on December 2, 2010 ofwhich she was a no show. feltlike she was using me to educate her not about MCHCbut the industry in genera! During the conference call I further educated Ms Casabal about the industry and MCHCinparticular and addressed any concerns she brought up. But during the call she made two comments which were very disturbing and further demonstrates her lack ofknowledge about MCHCafter being assigned the MCHCcase. They are as follows: First Issue #1, Ms. Casabal made the commentthat "TheFacility is a not for profit facility isn't it?" This comment comesafter receiving monthly compiled financial statements dating back to March, 2010 that included the standard GAAP opinion for proprietary entitics. Secondly Issue #2, and most concerning she inquired about therapy provided to Medicare residents, She asked ifweprovided therapyinhouseand if the residentsreceived therapy everyday. I indicated that the residents are assessed and based on the assessment, therapy is provided accordingly. Ms. Casabal then further stated "If you provide more minutes of therapyit i will increase the amount ofpayment you would receive from Medicare andthat she cousd putus in contact with a company that could assist MCHCin doing that and all they (the company) would charge is a percentage ofthe increase in payments MCHC would receive from Medicare."

Subsequently, Love Funding disengaged from both facilities projects and sent us a check madeoutto each facility in an amount sent to them to start the projects less the cost ofthe PCNA. Mr. Smallwood, Love Funding, Inc. stated that the underwriters did not want to proceed with the project because Ms. Casabal indicated that she would not allow either facility to obtain HUD approval I purchased my first skilled nursing facility in 1984 in Michigan City, Indiana and took over a facility that had a probationary license and turned it around almost immediately Since then T have owned and operated severalfacilities in the State ofIndiana and consulted with in excess of 100 healthcare facilities in the state. I take pride in whatthese facilities have accomplished. 1 would have never expected a representative ofHUD to recommend actions that in my opinion constitute fraud, and I will never succumbto take such measures Iam appalled by her comments, On February 15, 2011, I along with the MCHCfacility administrator and director of nursing met with Ms Kimberly Rhoades, Director ofthe Long Term Care Program, Indiana Department ofHealth and other upper management representatives within her department. At that meeting Ms. Rhoades informed us that the SFF designation is a new program with HUD. Shefurther stated that she was required at the time to designate three skilled nursing facilities in the State as SFF's and that as ofFebruary 15 she has been instructed by HUD to expandthat number to fourfacilities. She recognizes that MCHCis a goodfacility and that she hadjust five skilled nursing facilities in the MCHC area to choose from. She said "There were several skilled nursing facilities in Lake County, Indiana she could have chosen, but that would have put an excessive workload on the ISDH survey team in that area, Inturn, she chose MCHCin southem Indiana since that ISDH survey team could manage the additional survey required by being designated an SFF. Ms. Rhoades was very understanding and has offered assistance towards advancing MCHCto an improved status from the SEF designation

March 15, 2011 - Page Four This brings me to Issue #3, Ms, Casabal continues to deny the MCHCrequests for reimbursementofescrow funds relatedto replacement reserves. This is not only an arbitrary and capricious act but has further put an undue financial hardship on MCHCandhinders MCHC from making further expenditures necessary to advance the quality ofcare provided at MCHC. In the almost twelve months that MCHChasbeen designated as a SFF and Ms. Casabal has been assigned to the Facility, she has made onlyone recommendation to the Facility and that recommendation in my opinion constitutes a fraudulent However, she has and continues to cause us time and money related to her requests of information that has not constituted anything toward the advancement of services or care provided at MCHC. Her most recent requestis that weprovide her monthly financial statements by the 10th ofthe following month which is most unreasonable and contrary to previous emails from her asking that they are provided by the 25th ofthe following month, You don't need to be a CPA for the past 30 years to realize that providing fairly stated financial statements within 10 days from the end of a report periodis not achievable due to the fact it is virtually impossible to obtain an accurate recording of accounts payable on an accrual basis since manyofthe invoices for expenses incurred in the report period are not available by the 10th ofthe month followingthe report period. In closing it only makes since that this facility proceed through the Lien 232 process and obtain more favorable financing which will provide additional available funds of approximately $5,000 per monthto putback into the facility and inturn, enhance the viability of a HUD project that already exists. DEPARTMENT OF HOUSING AND URBAN DEVELOPMENT WASHINGTON,DC 20410-8000 3 o The Honorable Todd Rokita JUL 27 2011 Member, United States Houseof Representatives 2680 E. Main Street, Suite 332 Plainfield, IN 46168-2829 Dear Representative Rokita: Thank youfor your letter, dated May 11, 2011, on behalf ofyour constituent, Mr. Joseph R. Clausman,Jr., who expressed concem regarding Martin County Healthcare & Rehabilitation Center’s (MCHC)Center for Medicare/Medicaid Services (CMS)star rating as well as its Special Focus Facility (SFF) designation. Mr. Clausman submitted that MCHC’s CMSstar rating had improved. It should be noted that these ratings are assigned by CMS,notby the Departmentof Housing and Urban Development nor the Office of Healthcare Programs (OHP). CMS administers Medicare and has established a star tating system that the public can accessvia the internet to look uptheratings for individual nursing facilities in a given area. The CMS system is composedofthree rating areas and an overall one to five star rating for a facility. MCHC’soverailstar rating had improved from a | to a 2; however, the rating did notaffect the SFF designation as MCHCisstill designated as “not improving”as of May19, 2011. Mr. Clausman stated that MCHCneedsto receive two consecutive surveys with improved results to moveoff the SFF designation list. OHP concurs with that conclusion. OHPagain advised Mr. Clausman to choose a Federal Housing Administration approved Lenderif he wishes to refinance the current loans. OHPalso reiterated that an individual OHP Account Executive does not have the authority to approve or decline a loan application. OHP does expect the mortgagorto provide full assurance that, going forward, the facility will be operated in such a way as to fully comport with the Department of Housing and Urban Development, CMS and State expectations regarding the operationofthe facility. In yourletter, you indicated that Mr Clausman was interested in learning about communications that Ms. Casabal has had with parties involved with otherfacilities. As was indicated in the letter to Mr. Clausman, OHPhas the utmost confidence in Ms Casabal, whois very expenenced in the residential care industry as well as being very conscientious. OHP does not considerate it appropriate, however, to share with Mr. Clausman any communications with other parties. wwwbud.gov espanol.hud.gov 5

The following information is from the Department of Housing and Urban Development's Office of Housing. FHAestablishes the MIP on ail new FHAloansin accordance with the National Housing Act. A refinance trom an existing FHA mortgage to another FHA mortgage creates a new FHA loan, so FHA assesses anew MIP The amountand duration of the MIP is based on the loan amount, loan term, loan to value ratio (LTV). and FHApolicies in place at the time that FHA assigns a case numberto the mortgage, btained a mortgage of $720,797 with a loan termof 30 years and an LTV of 91.40percent. FHA assigned a case number to the mortgage on March 7, 2013. For a mortgage with these characteristics. FHA will cancel the annual MJP whenthe outstanding LTV drops below 78 percent ofthe original value and the borrower has made payments forat least five years. FHA systemscalculate both the outstanding LTV on the mortgage and the length of tme the borrower has made payments, and will automatically remove the MIP from the mortgage whenit meets the conditions requited by FHA guidance.
